Terms of Service

These Terms are the master contract between you and Mnadani Inc. for use of the marketplace, mobile app, and related services. They apply alongside the User Agreement, Privacy Policy, and any policy referenced from this page.

1. Definitions

  • Mnadani, we, us — Mnadani Inc., operator of the marketplace at mnadani.co.tz.
  • Services — the marketplace website, mobile app, escrow, dispute resolution, wallet, gift cards, and messaging.
  • Buyer — a user who bids on or purchases a listing.
  • Seller — a verified user who lists items for sale or auction.
  • Escrow — the temporary custody of buyer funds by our licensed payment partner until the order is completed.
  • Order — a completed buy-it-now purchase or winning bid.

2. Who we are

Mnadani Inc. is a company registered in the United Republic of Tanzania. We operate an online marketplace connecting Tanzanian buyers and sellers. We are not a party to the sales contract between a buyer and seller; we provide the platform, the escrow rails, and dispute resolution.

3. Accounts & eligibility

You must be at least 18 years old and legally resident in Tanzania to register. You must give accurate information, keep your credentials confidential, and are responsible for every action taken through your account. Sellers must complete our KYC checks to unlock higher listing and payout limits.

You may only hold one active account unless we permit otherwise in writing. We may require re-verification if account activity looks inconsistent with the identity on file.

4. Listings & auctions

Sellers are solely responsible for their listings — title, images, condition, description, price, shipping rates, and returns policy — and for the legality of items sold. Auctions run to a fixed end time; bids are binding once placed and can only be retracted in the narrow cases set out in How to bid.

5. The sales contract

A binding contract of sale is formed directly between buyer and seller at checkout for a buy-it-now listing, or when the auction closes for the highest eligible bidder. Mnadani facilitates that contract via escrow but is not a party to it.

6. Payments & escrow

All payments run through our verified payment partner, a Bank of Tanzania-licensed processor. Funds are held in escrow until (a) the buyer confirms delivery, (b) the 3-day inspection window closes without a dispute, or (c) a dispute is resolved. Full detail lives in the Payments guide.

7. Fees

Buyers pay the our verified payment partner processing fee at checkout. Sellers pay a Mnadani commission on the item price when funds are released. Payout fees may apply when transferring wallet balances to mobile money or bank accounts. Current rates are published on Fees & charges.

8. Shipping & delivery

Sellers must dispatch orders within the time stated on the listing, upload a courier ticket or proof of dispatch, and provide an estimated delivery date. Buyers must accept delivery at the address given at checkout and confirm receipt from the order page.

9. Returns, refunds & cancellations

Return eligibility is set by the seller and shown on each listing. Where a return is accepted, the item must be in the condition described and shipped back within the return window. 10. Disputes

If a delivered item is missing, damaged, counterfeit, or materially not-as-described, open a dispute from the order page within 3 days of delivery. Mnadani will review evidence from both sides and issue a full refund, partial refund, or release to the seller. See Disputes.

11. Your content

You grant Mnadani a worldwide, royalty-free licence to host, display, moderate, translate, and promote content you post (listings, reviews, messages, photos) for as long as needed to operate the Services. You keep ownership of your content.

Reviews must be truthful and based on a real transaction. Messaging must relate to a listing, order, or dispute. We may remove content that breaks these Terms or the Community Guidelines.

12. Intellectual property

The Mnadani name, logo, product designs, code, and content we author are our property or licensed to us. If you believe a listing or user content infringes your rights, follow the notice-and-takedown procedure in the IP notice.

13. Prohibited conduct

  • Listing prohibited or restricted items.
  • Circumventing Mnadani checkout, escrow, or fees (including off-platform payments).
  • Fake bids, shill bidding, bid manipulation, or review manipulation.
  • Harassment, hate speech, doxxing, or threats against any user or staff.
  • Fraud, chargeback abuse, money laundering, or sanctions evasion.
  • Scraping, reverse-engineering, or overloading our systems.

14. Suspension & termination

We may limit, suspend, or close an account, cancel listings, hold payouts, or reverse funds where we reasonably believe these Terms have been breached, an order is fraudulent, or the law requires it. You may close your account at any time from Settings; some records (transactions, tax) are retained for the legally required period.

15. Disclaimers

The Services are provided "as is" and "as available". We don't warrant that listings are accurate, that items will meet your expectations, or that the Services will be uninterrupted or error-free. Mnadani is not the seller of items listed by users.

16. Limitation of liability

To the maximum extent allowed by law, Mnadani's aggregate liability to you for any claim arising from the Services is capped at the greater of (a) the fees you paid to Mnadani in the 12 months before the claim, or (b) TZS 500,000. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of data.

17. Indemnity

You agree to indemnify and hold Mnadani, its affiliates, and staff harmless from any claim or demand (including reasonable legal fees) arising from your listings, your content, your breach of these Terms, or your violation of any law or third-party right.

18. Changes to these terms

We may update these Terms. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date means you accept the update.

19. Governing law

These Terms are governed by the laws of the United Republic of Tanzania. Disputes not resolved through Mnadani's dispute process shall be submitted to the courts of Dar es Salaam.
